MEMORY-MAP
END USER LICENCE AGREEMENT |
This is a legal agreement between you (as an individual or other legal entity)
and Memory-Map, Inc. By proceeding with the installation, you indicate your
acceptance of this agreement.
1. DEFINITIONS
"Memory-Map" refers to Memory-Map Inc, a corporation incorporated in
the State of New York. "Software" refers to all computer programs,
codes, data and documentation that accompany this installation file, and all
updates and patches provided by Memory-Map. "User" means the licensee
under this agreement. This can be an individual person or other legal entity.
2. GRANT OF LICENSE
Memory-Map hereby grants to the User a revocable, non-exclusive, non-transferable,
license to use one copy of the Software on one computer and one PDA.
Educational establishments. Where the software and data are to
be used for educational purposes only each Memory-Map End User
Licence shall be extended to cover networked use on up to 35 terminals.
A further licence must be purchased for use on additional terminals
so that, by way of example and for the avoidance of doubt, an educational
establishment requiring networked use for 100 terminals would require
three licenses.
Public libraries. A fully licensed product must be purchased for
each individual computer required. Software and Data must be installed
individually on each computer as networked use is not permitted.
It is not permitted to loan, lend, rent, hire or borrow the Software
and Data products, whether free of charge or if a charge is levied.
The public is only permitted to use the Software and Data inside
the libraries reference section and only for personal non-commercial
use.
3. USER'S OBLIGATIONS
The User agrees to use the Software in a manner consistent with safe and prudent
navigation practices. The user shall always provide alternative means of
navigation, and shall not rely on the Software in any role that is critical
to the safety of life or property. The User agrees not to use the Software
while in control of any moving vehicle. No part of the Software is to be
reverse-engineered, decompiled or disassembled. The Software must not be
installed on a network that allows more than one user or more than one computer
to access the Software except where Memory-Map has granted an Educational
Licence. The user must not disclose any serial numbers, passwords or other
security codes to any third party.
4. COPYRIGHT
The Software is owned by Memory-Map and is protected by United States copyright
laws and international treaty provisions. The Software must not be copied
except to the extent necessary to use the software as permitted under section
2 of this agreement. The User may not distribute any part of the software
to any third party.
Self scanned maps and charts. The user shall be responsible for ensuring the
original publishers copyright approval is obtained before importing or using
self-scanned maps and charts.
5. ASSIGNMENT
The User may not rent, lease, sell, transfer or assign the User's rights under
this agreement to any third party. The User may not permit others to use
the software.
6. WARRANTY
With respect to the physical diskette and printed documentation enclosed herein,
Memory-Map warrants the same to be free from defects in materials and workmanship
under normal use for a period of 60 days from date of receipt. Memory-Map's
entire liability and your exclusive remedy shall be, provided that you have
given Memory-Map written notification within the warranty period of the defects,
replacement of the defective diskette or documentation. Except for the express
warranty above, the Software, media and documentation are provided on an "as
is" basis, without any other warranties or conditions, express or implied,
including but not limited to conformity to any representation or description,
warranties of merchantability and fitness for a particular purpose, or those
arising by law, statute, usage of trade or course of dealing. The entire
risk as to the results and performance of the Software is assumed by you.
IN NO EVENT SHALL MEMORY-MAP OR ITS DISTRIBUTORS BE LIABLE FOR ANY DAMAGES
WHATSOEVER (INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF BUSINESS PROFITS,
BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION OR OTHER PECUNIARY LOSS)
ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, THE DISKETTE OR THE
DOCUMENTATION. (WHETHER SUCH CLAIM IS BASED ON BREACH OF CONTRACT, INDEMNITY,
WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE), EVEN
IF MEMORY-MAP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE,
MEMORY-MAP'S ENTIRE LIABILITY UNDER THIS AGREEMENT OR OTHERWISE WITH RESPECT
TO THE SOFTWARE, DISKETTE OR DOCUMENTATION SHALL BE LIMITED TO THE AMOUNT ACTUALLY
PAID BY THE USER FOR THE SOFTWARE, DISKETTE AND DOCUMENTATION.
7. GOVERNING LAW
This agreement is governed by the laws of the state of New York.

ORDNANCE
SURVEY DATA LICENCE AGREEMENT |
1.
LICENCE.
Ordnance Survey ("the Owners") hereby grant you (either
an individual or entity) a non-exclusive, non transferable licence
for private, non-commercial use of the data loaded on the CD ("the
Data") in accordance with the terms of this licence agreement.
You may not copy, modify, alter, electronically transfer, decompile
or reverse engineer the Data in any way, other than to make one
copy of the Data for back-up purposes. It is also your responsibility
to ensure that, before loading the Data, you have made adequate
back-ups of the application software and data stored on your computer.
In opening the sealed CD, you will be deemed to have accepted the
terms of this Licence Agreement.
Self scanned maps and charts. The user shall be responsible for
ensuring the original publishers copyright approval is obtained
before importing or using self-scanned maps and charts. In the
case of Ordnance Survey maps, if permission is granted, a separate
licence will be required before such use for which a charge will
be made.
Educational establishments. Where the data is to be used for educational
purposes only each Ordnance Survey Data Licence shall be extended
to cover networked use on up to 35 terminals. A further licence
must be purchased for use on additional terminals so that, by way
of example and for the avoidance of doubt, an educational establishment
requiring networked use for 100 terminals would require three licenses.
For the purposes
of the preceding paragraph "educational
establishment" means educational establishments which are
Local Authority managed or Direct Grant funded, independent schools
for the education of children of up to age 17 and scout and guide
groups. The term also includes Sixth Form Colleges and other higher
or further education establishments, and universities.

individually on each computer as networked use is not permitted.

2.
RESTRICTIONS.
Restrictions. This licence is personal to you and you may not assign,
transfer or sub-licence the Data to any other person without the
express written consent of the Owners. You may only use the Data
on one single computer and one single PDA (Pocket PC or other Win
CE device) that you own or use. Once you have installed the Data
on your computer or PDA, you may use the Data on a different computer
or PDA only if you first delete the Data installed on the first
computer or PDA. Printouts of the maps, mapping components, text,
graphics and index tables may be taken for your own use including
for use in educational and personal research documents and projects.
Copyright in this material irrespective of its form of presentation
will however vest in the Owners. Printouts of maps, mapping components,
text, graphics and index tables may not however under any circumstances
be taken and included in documents or publications either in print,
photocopy or electronic form to be circulated for republication,
promotional purposes or sale.
3. WARRANTIES.
Memory-Map warrants that under normal use the CD on which the Data is supplied
will be free from defects for a period of 60 days from the date of original
purchase ("the Warranty Period"). If a defect in the CD occurs
during the Warranty Period, you may return it with proof of purchase and
details of the supplier to Memory-Map Europe, c/o EVO Distribution
Limited, Unit 3-4 Mars House, Calleva Park, Aldermaston, Hampshire, RG7
8LA, who will provide you with a replacement. Subject to paragraph 4 below,
the warranty given above, represents your only remedies for any breach of
the Owners' warranties, which are given only to the original user of the
Data. Except as set out in this Licence Agreement, all warranties, conditions,
undertakings, terms and obligations implied by statute, common law, trade
usage, course or dealing or otherwise including the implied warranties of
satisfactory quality and fitness for a particular purpose) are hereby excluded
to the fullest extent permitted by law.
4. LIMITATIONS OF REMEDIES.
The depiction of any road, path or track on mapping included in the Data is no
indication of public right of way and the Owners exclude all liability, (whether
in contract, tort or otherwise) arising from the depiction of any such road,
path or track in the Data. The Owners liability for any direct loss arising
from any defect in the CD or the Data is limited to your purchase price.
Except as set out in this Licence Agreement, in no event will either the
Owners or their group companies, licensors, suppliers or agents be liable
to you for any loss or damage of any kind (except personal injury or death
resulting from the Owners' negligence), including any loss of profits, loss
of anticipated savings or other indirect or consequential damages arising
out of your use or inability to use the Data or from errors or deficiencies
in it, whether caused by negligence or otherwise.
5. LAW.
This Licence Agreement is governed by English law and the jurisdiction of the
English courts.
This

GEOGRAPHERS'
A-Z DATA LICENCE AGREEMENT |
The copyright
in the maps and other information (“Data”)
on the enclosed CD is owned by Geographers’ A-Z Map Company
Limited (“A-Z”) or its licensors. Maps are based upon
Ordnance Survey mapping with the permission of the Controller of
Her Majesty’s Stationery Office from whom A-Z has a licence
to make the Data available to you. By opening the box containing
the CD you agree with A-Z to be bound by the terms of this Agreement
which will govern your use of the Data. The Data may be used only
with the accompanying application software ("Software").
YOU
ARE PERMITTED:
a) to load the Data into and use it on a single computer and single
PDA which is under your control for personal and Domestic purposes;
b) to transfer the Data from one computer to another provided it
is used on only one computer at any one time;
c) to make 1 copy of the Data for back-up purposes only in support
of the permitted use. The copies must reproduce and include A-Z’s
copyright notice;
d) to transfer the Data (complete with all its associated documentation)
and the benefit of this Agreement to another person provided he
has agreed to accept the terms of this Agreement and you contemporaneously
transfer all copies of the Data you have made to that person or
destroy all copies not transferred. If any transferee does not
accept such terms then this Agreement shall automatically terminate.
The transferor does not retain any rights under this Agreement.
e) to make a reasonable number of copies of the Data using the
Software's built in print facility for your own personal and domestic
purposes only.
YOU
ARE NOT PERMITTED:
a) to use the Data otherwise than for your own personal or domestic
purposes.
b) to print out the Data otherwise than for your own personal or
domestic purposes.
c) to load the Data on to a network server for the purposes of
distribution to one or more other computer(s) on that network or
to effect such distribution (such use requires a separate licence).
d) except as expressly permitted by this Agreement and save to
the extent and in the circumstances expressly required to be permitted
by law, to rent, lease, sub-license, loan, copy, modify, adapt,
merge, translate, reverse engineer, decompile, disassemble, or
create derivative works based on the whole or any part of the Data
or its associated documentation or use, reproduce or deal in the
Software or any part thereof in any way.
Educational

Data Licence shall be extended to cover networked use on up to

terminals so that, by way of example and for the avoidance of doubt,

TERM
This Agreement is effective until you terminate it by destroying the Data and
its documentation together with all copies. It will also terminate if you
fail to abide by its terms. Upon termination you agree to destroy all copies
of the Data and its documentation, including any Data stored on the hard
disk of any computer under your control.
OWNERSHIP
You own only the CD (or authorised replacement) on which the Data is recorded.
A-Z shall at all times retain ownership of the Data as recorded on the original
CD and all subsequent copies thereof regardless of form. This Agreement applies
to the grant of the licence contained herein only and not to the contract
of sale of the CD.
WARRANTIES
A-Z warrants that the Data is substantially similar to such maps
and information in the corresponding print version and whilst
A-Z endeavours to keep its map and index databases complete,
accurate and up-to-date, all such data is supplied by A-Z on
an “as is” basis and A-Z makes no warranty, and
has no responsibility to you to ensure, that the Data is complete
and/or accurate and/or up-to-date. If A-Z, or it's licensor,
is notified of significant errors during the Warranty Period,
it will (at its option) provide or authorise a refund or replacement.
The above represent your sole remedies for any breach of A-Z’s
warranties, which are given only to the original purchaser.
The express terms of this Agreement are in lieu of all warranties,
conditions, undertakings, terms and obligations implied by statute, common
law, trade usage,
course of dealing or otherwise all of which are hereby excluded to the fullest
extent permitted by law. A-Z does not warrant that the Data will meet your
requirements or that the operation of the Software or data will be uninterrupted
or error-free or that defects in the Software will be corrected. You shall
load and use the Software and Data at your own risk and in no event will A-Z
be liable to you for any loss or damage of any kind (except personal injury
or death resulting from A-Z’s negligence) including lost profits or other
consequential loss arising from your use of or inability to use the Software
or Data or from errors or deficiencies in the Software or Data whether caused
by negligence or otherwise except as expressly provided herein. In no event
shall A-Z’s liability exceed the amount paid by you for the CD.
LAW
This Agreement shall be governed by English law and you and A-Z agree to submit
to the non-exclusive jurisdiction of the Courts of England.

(“Data”)
on the enclosed CD is owned by Philip’s, a division of Octopus Publishing
Group Limited (“Philip’s”) or its licensors. By opening the
box containing the CD you agree with Philip’s to be bound by the terms
of this Agreement which will govern your use of the Data.
YOU ARE PERMITTED:
a) to load the Data into and use it on a single computer and a single PDA which
is under your control for personal and domestic purposes;
b) to transfer the Data from one computer to another provided it is used on only
one computer at any one time;

COLLINS BARTHOLOMEW
LICENCE AGREEMENT |
IMPORTANT:
READ THIS AGREEMENT CAREFULLY BEFORE OPENING THE SEALED MEDIA PACKAGE. BY
OPENING THE SEALED MEDIA PACKAGE YOU ARE INDICATING YOUR ACCEPTANCE OF THE
COLLINS BARTHOLOMEW LICENCE AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS AND
CONDITIONS AS STATED, RETURN THE UNOPENED PACKAGE TO THE SUPPLIER OF THE
DATA.
RIGHTS:
This is a licence agreement between the end user (You) and Collins Bartholomew
Ltd, a subsidiary of HarperCollins Publishers Ltd. This Licence Agreement
gives You certain limited rights to use the Data and any Technical Information
also provided. All rights not specifically granted in this Agreement are
reserved to Collins Bartholomew Ltd.
Reservation of ownership and grant of licence: Collins Bartholomew Ltd retains
exclusive ownership of the Data and hereby grants to you a personal, non-exclusive,
non-transferable licence to use the Data based on the terms and conditions
of this Agreement. You agree to use all reasonable efforts to protect the Data
from unauthorised use, reproduction, distribution or publication.
COPYRIGHT:
Copyright in the Data belongs to Collins Bartholomew Ltd.
PERMITTED USES: You may use the Data on one single
computer and one single PDA (Pocket PC or other Win CE device). You may make
two copies of the Data for archival and security purposes.

or rights under this Agreement. You may not remove or obscure copyright notices.
HARD COPY OUTPUT:
Hard copy plots from the data up to and including A4 size are permitted under
the terms of this agreement. Hard Copy output for resale or distribution
to third parties may not be produced by You without the written permission
of Bartholomew.
TERMINATION:
The Agreement will automatically terminate without notice if You fail to
comply with any provision of this Agreement. On termination of this Agreement
you will remove any whole or partial copies of the Data from any computer
systems at your site.
MISCELLANEOUS:
Collins Bartholomew Ltd gives no warranty or undertaking as to the suitability
of the Data for your purposes. While every effort is made to keep the Data
up-to-date, Collins Bartholomew Ltd will not be responsible for any direct,
indirect, incidental or consequential loss, damage or inconvenience caused
by inaccuracies or faults in the Data. Nothing in this Agreement shall be
construed as constituting a partnership between Collins Bartholomew Ltd and
You.
APPLICABLE LAW: To
the extent possible under applicable law, this Agreement shall be governed
by the laws of England and Wales and shall be subject to the non-exclusive
jurisdiction of the English courts.

GETMAPPING PLC |
This End User Licence Agreement (“EULA”) is a legal agreement
between you (an individual) and Getmapping plc for the software product stated
above, including but not limited to all associated media, printed materials,
electronic or online documentation, updates and supplements to the original
(the “Product”). Any other data/software supplied to you by Getmapping
or Memory-Map provided originally with a separate user licence is licensed
under the terms of that licence.
AGREEMENT
By installing, downloading, copying, accessing or otherwise using the Product,
you agree to be bound by the terms of this EULA. If you do not agree to the
terms contained herein, you should NOT install, download, copy, access or otherwise
use the Product, however you may return the Product to the place from which
you purchased it, along with proof of purchase, for a full refund.

This Product is copyright Getmapping plc and its suppliers and
is protected by Copyright Laws and International Copyright Treaties
and may not be used in any way except in accordance with this EULA.
This Product is Licenced, NOT sold. This EULA is personal to you
as the purchaser of the Product and the licence granted herein
is for your benefit only.

2. PERMITTED USE
As purchaser of the authorised copy of the Product, you may, subject to the conditions
contained herein, load the software element of the Product (“Software”)
onto and use it on a single computer and single Personal Digital Assistant
(PDA)) that is under your control.
3. RESTRICTIONS ON USE
You may not:
3.1 load the Software onto two or more computers at the same time. If you wish
to transfer the Software from one computer to another, you must erase the Software
from the first hard drive before you install it onto a second hard drive;
3.2 sub-licence, assign, rent, lease or transfer the EULA or the Product or make
or distribute copies of the Product, or any part thereof;
3.3 translate, reverse engineer, decompile, disassemble, modify or create derivative
works based on the Software or any other part of the Product, except as permitted
by law;
3.4 make copies of the Software or any other part of the Product;
4. TITLE
As licencee you own only the CD or medium on which the Software is recorded or
fixed. You may retain the media on termination of this agreement provided
the Software is erased. We shall at all times retain ownership of the Software
and all other elements of the Product.
5. WARRANTY
We warrant that for a period of 60 days from the date of purchase (‘the
Warranty Period’):
5.1 the medium on which the Software is recorded will be free from defects in
materials and workmanship under normal use. If the CD fails to conform to this
warranty, you may, as your sole and exclusive remedy, obtain (at your option)
either a replacement free of charge or a full refund if you return the defective
diskette to us or to your supplier during the warranty period with a dated proof
of purchase; and
5.2 the copy of the Software in this package will materially conform to the documentation
that accompanies the Software. If the Software fails to operate in accordance
with this warranty, you may, as your sole and exclusive remedy, return all of
the Software and the documentation to us or to your supplier during the warranty
period, along with dated proof of purchase, specifying the problem, and we will
provide you either with a new version of the Software or a full refund (at your
option).
6. DISCLAIMER
We do not warrant that this Software will meet your requirements or that its
operation will be uninterrupted or error free. We exclude and hereby expressly
disclaim all express and implied warranties or conditions not stated herein,
so far as such exclusion is or disclaimer is permitted under the applicable
law.
THIS AGREEMENT DOES NOT AFFECT YOUR STATUTORY RIGHTS.
7. LIABILITY
7.1 Our liability to you for any losses shall not exceed the amount you originally
paid for the Software.
7.2 In no event will we be liable to you for any indirect or consequential damages
even if we have been advised of the possibility of such damages. In particular,
we accept no liability for any programs or data made or stored with the Software
nor for the costs of recovering or replacing such programs or data.
7.3 Nothing in this clause limits our liability to you in the event of death
or personal injury resulting from our negligence.
8. TERMINATION
8.1 The agreement and the licence hereby granted to use the Software automatically
terminates if you:
8.1.1 fail to comply with any provisions of this agreement; or
8.1.2 destroy the copies of the Software in your possession; or
8.1.3 voluntarily return the Software to us.
8.2 In the event of termination in accordance with clause 8.1
you must destroy or delete all copies of the Software from all storage media
in your
presence.
9. SEVERABILITY
In the event that any provision of this EULA is declared by any judicial or other
competent authority to be void, voidable, illegal or otherwise unenforceable
or indications of the same are received by either you or us from any relevant
competent authority, we shall amend that provision in such reasonable manner
as achieves the intention of the parties without illegality, or at our discretion
such provision may be severed from this agreement and the remaining provisions
of this agreement shall remain in full force and effect.
10. ENTIRE AGREEMENT
You have read and understand this agreement and agree that it constitutes the
complete and exclusive statement of the agreement between you and Getmapping
with respect to the subject matter hereof and supersedes all proposals, representations,
understandings and prior agreements, whether oral or written, and all other
communications between us relating thereto.
11. ASSIGNMENT
This agreement is personal to you and you may not assign, transfer, sub-contract
or otherwise part with this agreement or any right or obligation under it
without our prior written consent.
12. LAW AND DISPUTES
This agreement and all matters arising from it are governed by and construed
in accordance with the laws of England and Wales whose courts shall have
exclusive jurisdiction over all disputes arising in connection with this
agreement.

CIVIL AVIATION AUTHORITY |
The copyright in the charts ("Data") is owned by
Civil Aviation Authority (CAA) or its licensors. The charts are based upon
Ordnance Survey
mapping with the permission of the Controller of Her Majesty's Stationery Office
from whom CAA has a licence to make the Data available to you. By downloading
the Data you agree with CAA to be bound by the terms of this Agreement, which
will govern your use of the Data.
YOU ARE PERMITTED:
a) to load the Data into and use it on a single computer and a single PDA which
is under your control;
b) to transfer the software from one computer to another provided it is used
on only one computer at any one time;
c) to make 1 copy of the Data for back-up purposes only in support of the permitted
use.
d) to make a reasonable number of copies of the Data using a print facility for
your own personal and domestic purposes only.
YOU ARE NOT PERMITTED:
a) to print out the Data otherwise than for your own personal or domestic purposes.
b) to load the Data on to a network server for the purposes of distribution to
one or more other computer(s) on that network or to effect such distribution
(such use requires a separate licence).
c) except as expressly permitted by this Agreement and save to the extent and
in the circumstances expressly required to be permitted by law, to rent, lease,
sub-license, loan, copy, modify, adapt, merge, translate, transfer, reverse engineer,
decompile, disassemble, or create derivative works based on the whole or any
part of the Data or use, reproduce or deal in the Data or any part thereof in
any way.
WARRANTIES:
Whilst CAA endeavours to keep its map and index databases complete, accurate
and up-to-date, all such data is supplied by CAA on an "as is" basis
and CAA makes no warranty, and has no responsibility to you to ensure, that
the Data is complete and/or accurate and/or up-to-date. CAA does not warrant
that the Data will meet your requirements. You shall load and use the Data
at your own risk and in no event will CAA be liable to you for any loss or
damage of any kind (except personal injury or death resulting from CAA's
negligence) including lost profits or other consequential loss arising from
your use of or inability to use the Data or from errors or deficiencies in
the Data whether caused by negligence or otherwise except as expressly provided
herein. In no event shall CAA's liability exceed the amount paid by you for
the CD.
TERM:
This Agreement is effective until you terminate it by destroying the Data its
documentation and the Data together with all copies. It will also terminate
if you fail to abide by its terms. Upon termination you agree to destroy
all copies of the documentation and the Data, on the hard disk of any computer
under your control.
LAW:
This Agreement shall be governed by English law and you and CAA agree to submit
to the non-exclusive jurisdiction of the Courts of England.

- FRANCE DATA LICENCE AGREEMENT |
The cartographic data integrated in this product is exclusively
owned by Institut Géographique National (IGN-France).
The licence granted to the user of the files does not include any
transfer of the property rights of this data. The usage of this
data is strictly limited to the use of the licenced user on a single workstation.
Part or whole of the data shall not be provided or communicated
to any third party, with or without charge, in any form, by any means and for
any purpose, unless expressly authorised with prior permission
of IGN. The IGN data shall not be extracted from the CDROM or used with
any other software. Reproduction and/or sale of graphics generated with, or printouts
containing, IGN data in any form with any process is prohibited.
